Welcome to Billii! These Terms of Service ("Terms") govern your use of the Billii application and services provided by Billii LLC ("Billii", "we", "us", or "our"). By creating an account or using our services, you agree to be bound by these Terms.
Please read these Terms carefully before using Billii. If you do not agree to these Terms, you may not access or use our services.
1. Acceptance of Terms
By accessing or using Billii, you confirm that you:
- Are at least 18 years old or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Are not prohibited from using the service under applicable laws
- Will comply with all applicable laws and regulations
If you are using Billii on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Billii is a household bill-splitting application that helps roommates and household members manage shared expenses. Our services include:
- Creating and managing households with multiple members
- Adding, tracking, and splitting bills among household members
- Recording payments and tracking balances
- Sending payment reminders and notifications
- Processing payments through integrated payment services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
3. Account Registration
To use Billii, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Households and Members
Creating Households
When you create a household, you become the household admin. As an admin, you are responsible for:
- Managing household membership and invitations
- Maintaining accurate household information
- Ensuring household members understand how bill splitting works
- Resolving disputes between household members when possible
Member Responsibilities
All household members agree to:
- Provide accurate information when adding or splitting bills
- Honor their share of split bills in good faith
- Communicate with household members about payment issues
- Not use the service to harass, defraud, or harm other members
5. Payments and Billing
Payment Processing
Payments made through Billii are processed by Stripe, our third-party payment processor. By using our payment features, you also agree to Stripe's Terms of Service.
- All payments are processed in US Dollars (USD)
- Billii does not store your full payment card information
- Payment processing fees may apply and will be disclosed before transactions
- You are responsible for ensuring sufficient funds for payments
Stripe Connect
Household members may enable Stripe Connect to receive payments directly. When using Stripe Connect:
- You must complete Stripe's identity verification process
- Funds will be deposited according to Stripe's payout schedule
- You are responsible for any tax obligations from received payments
External Payments
Billii allows you to record payments made outside the app (cash, Venmo, etc.). These payments are between household members directly. Billii is not responsible for external payment disputes.
6. Subscriptions and Fees
Free and Premium Features
Billii offers both free and premium subscription tiers. Free features include basic bill splitting and household management. Premium features may include advanced analytics, increased limits, and priority support.
Subscription Billing
- Subscriptions are billed in advance on a recurring basis (monthly or annually)
- You authorize us to charge your payment method for subscription fees
- Prices may change with at least 30 days notice before the next billing cycle
- No refunds are provided for partial subscription periods
Cancellation
You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to premium features until the end of your current billing period.
7. Prohibited Conduct
You agree not to:
- Use Billii for any unlawful purpose or to facilitate illegal activities
- Commit fraud, including creating fake bills or manipulating payment records
- Harass, abuse, or threaten other users
- Attempt to access other users' accounts without authorization
- Interfere with or disrupt the service or servers
- Circumvent or disable security features
- Use automated systems (bots, scrapers) without permission
- Reverse engineer or attempt to extract source code
- Violate any applicable laws or regulations
- Use the service to launder money or for other financial crimes
8. Intellectual Property
The Billii service, including its design, features, and content, is owned by Billii LLC and protected by copyright, trademark, and other intellectual property laws.
- You may not copy, modify, or distribute our content without permission
- The Billii name, logo, and branding are our trademarks
- You retain ownership of content you create (bills, notes, etc.)
- You grant us a license to use your content to provide the service
9. Disclaimers
Important: Please read these disclaimers carefully.
BILLII IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy of calculations or payment processing
Billii is not a financial advisor or legal service. We provide tools to help you manage shared expenses, but we do not provide financial, tax, or legal advice. You are responsible for your financial decisions and obligations to household members.
We are not responsible for disputes between household members. Billii facilitates bill splitting and payment tracking, but we do not guarantee that household members will pay their share. Disputes must be resolved between members directly.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLII LLC SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, or goodwill
- Damages arising from your use or inability to use the service
- Damages arising from disputes between household members
- Damages arising from third-party payment processor issues
- Any amount exceeding the fees you paid to Billii in the past 12 months
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Billii LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any rights of another party
- Disputes between you and other household members
12. Dispute Resolution
Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@billii.app and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If we cannot resolve a dispute informally, you and Billii agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court.
Class Action Waiver
You agree that any disputes will be resolved individually, and you waive your right to participate in a class action lawsuit or class-wide arbitration.
13. Termination
We may terminate or suspend your account immediately, without notice, if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- We are required to do so by law
- We discontinue the service
You may terminate your account at any time through your account settings. Upon termination, your right to use the service ceases immediately. See our Privacy Policy for information about data retention and deletion.
14. Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last updated" date
- Sending you an email notification for significant changes
- Displaying an in-app notification
Your continued use of Billii after changes become effective constitutes acceptance of the updated Terms.
15. General Provisions
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Billii regarding your use of the service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
